Referral Partner Agreement

This Referral Partner Agreement ("Agreement") forms part of your contract with Omva NZ Limited and governs your participation in the Omva referral programme. By sharing your referral link you accept this Agreement.

1. How the Programme Works

Each Omva account holder receives a unique referral link. When a new user signs up using your link and becomes a paying subscriber, you earn a commission on their monthly subscription fee for as long as they remain an active subscriber.

2. Commission Rate

You earn 5% of the referred user's monthly subscription fee (excluding GST). Commission rates by plan:

  • Starter (NZ$29/mo) — NZ$1.45/month per referred user
  • Growth (NZ$82/mo) — NZ$4.10/month per referred user
  • Elite (NZ$415/mo) — NZ$20.75/month per referred user
  • Enterprise — 5% of agreed monthly fee

3. Trial Period Exclusion

No commission is earned during a referred user's first 30 days ("Trial Period"). The Trial Period exists because new users pay NZ$1 for their first month. Commissions begin accruing from day 31 of the referred user's active subscription. This rule exists to prevent abuse of the trial pricing.

4. Self-Referral Prohibition

You may not refer yourself, use another account to refer your primary account, or coordinate with others to generate artificial referral commissions. Any commission earned through self-referral or abuse will be forfeited and may result in account termination.

5. Commission Calculation

Monthly earnings are calculated based on the number of active referred users (past their Trial Period) and their current plan. Total earnings accumulate for each full month a referred user remains active beyond their Trial Period.

6. Payment

Commissions are displayed in your Account dashboard. Payment terms and methods will be communicated separately. Omva reserves the right to apply a minimum payout threshold.

7. Permitted Referral Activities

You may:

  • Share your referral link on social media, websites, emails, and in person
  • Run paid advertising using your referral link (provided ads comply with all applicable laws)
  • Include your referral link in content you produce about Omva

8. Prohibited Activities

You must not:

  • Make false or misleading claims about Omva or its platform
  • Offer cash or other incentives to people who sign up through your link
  • Use spam, unsolicited messages, or deceptive marketing practices
  • Misrepresent your relationship with Omva (you are not an employee or agent)
  • Use Omva's trademarks or branding without prior written consent

9. Termination

Omva may suspend or terminate your participation in the referral programme at any time if you breach this Agreement or the Terms of Service. Accrued commissions from legitimate referrals will be honoured upon termination.

10. Relationship

You are an independent referrer, not an employee, agent, or partner of Omva. This Agreement does not create any employment or agency relationship.

11. Governing Law

This Agreement is governed by the laws of New Zealand.
